These Terms of Service ("Terms") govern your use of the website https://rstackgro.com and any services provided by RStackGro ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Services
RStackGro provides web development, mobile app development, ecommerce development, UI/UX design, and related digital services ("Services"). The specific scope, deliverables, timeline, and pricing for each project are agreed upon in a separate Statement of Work (SOW), proposal, or contract signed by both parties.
We reserve the right to refuse service to anyone for any reason at any time.
2. Acceptance of Terms
By using this website or signing a project agreement with RStackGro, you confirm that:
- You are at least 18 years of age
- You have the legal authority to enter into these Terms on behalf of yourself or your organization
- You agree to comply with all applicable laws and regulations
3. Project Agreements & Scope
All client projects are governed by a written agreement (proposal, SOW, or contract) that specifies deliverables, timelines, payment terms, and revision limits. In the event of a conflict between these Terms and a specific project agreement, the project agreement shall prevail.
Any changes to the project scope ("scope creep") must be agreed upon in writing and may result in additional charges and timeline adjustments.
4. Payment Terms
- Invoicing — Invoices are issued as per the payment schedule in the project agreement (typically 50% upfront, 50% on delivery, or milestone-based).
- Due date — Payments are due within 7 days of invoice unless otherwise agreed.
- Late payments — Overdue payments may attract a late fee of 2% per month. We reserve the right to pause work on projects with overdue invoices.
- Currency — Invoices are issued in INR (Indian Rupees) or USD as agreed. Bank transfer fees are the client's responsibility.
- Non-refundable deposits — Upfront payments are non-refundable unless RStackGro fails to commence work within the agreed timeframe.
5. Intellectual Property
a) Client-Owned Work
Upon receipt of full payment, all custom code, designs, and deliverables created specifically for your project become your property. You receive full ownership rights to the final deliverables.
b) Pre-existing IP
RStackGro retains ownership of all pre-existing tools, frameworks, libraries, boilerplate code, methodologies, and know-how developed independently of your project. These may be used in other projects.
c) Portfolio Rights
Unless explicitly agreed otherwise in writing, RStackGro reserves the right to display completed work in our portfolio, case studies, and marketing materials.
d) Third-Party Assets
Any third-party assets (stock images, fonts, plugins, SDKs) used in your project are subject to their respective licenses. It is the client's responsibility to obtain appropriate licenses for continued use after project delivery.
6. Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide accurate, complete, and timely information, content, and feedback
- Designate a single point of contact with authority to approve decisions
- Respond to queries and review submissions within agreed timeframes (typically 3–5 business days)
- Ensure you have rights to all content and materials you provide to us
- Not use our services for any unlawful, harmful, or fraudulent purposes
Delays caused by the client (late content, delayed approvals) may affect project timelines and are not the responsibility of RStackGro.
7. Revisions & Approvals
Each project agreement specifies the number of included revision rounds. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Final approval from the client constitutes acceptance of the deliverable. Requests for significant changes after acceptance may be treated as new work.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
We are happy to sign a mutual NDA (Non-Disclosure Agreement) before project discussions begin upon request.
9. Warranties & Disclaimers
RStackGro warrants that our services will be performed in a professional and workmanlike manner in accordance with industry standards.
We do not warrant that:
- Our website or services will be uninterrupted, error-free, or completely secure
- Results from using our services will meet every specific business objective
- Third-party platforms (Shopify, SFCC, app stores) will approve or continue to support delivered work without change
The website and informational content are provided "as is" without any warranty of any kind, express or implied.
10. Limitation of Liability
To the maximum extent permitted by applicable law, RStackGro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities.
Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by you to RStackGro in the three (3) months preceding the claim.
11. Termination
a) By Client
You may terminate a project by providing written notice. Any work completed up to the termination date will be invoiced and is payable. The upfront deposit is non-refundable.
b) By RStackGro
We reserve the right to terminate a project or suspend services if the client violates these Terms, fails to make payment, engages in abusive behavior toward our team, or requests work that is illegal or unethical. In such cases, payment for work completed to date remains due.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in India.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes your acceptance of the new Terms.
